CMG is seeking an experienced, thoughtful and innovative attorney to join our growing Bedminster, NJ headquarters team at a pivotal moment. We are launching a series of strategic investments and growth initiatives that will shape the company’s next decade. In this role, you’ll be a hands-on legal architect, helping to expand the application of Other Transaction Authority across the federal government, advance new acquisition reform legislation, develop innovative public/private partnership frameworks, and negotiate complex M&A and strategic investment agreements. This will be accomplished while building the guardrails that let the business move fast with confidence.

The Associate General Counsel reports to the Vice President and General Counsel and provides expert legal advice and strategic guidance on a broad range of matters, including commercial transactions, government contracts, administrative and regulatory compliance, litigation, ethics, risk mitigation, and legislative affairs.
Responsibilities
- Help shape the company’s portfolio of advisory, capital enablement, and transaction services to align with market opportunities.
- Lead structuring and negotiation of Managed Services Agreements, JVs and M&As.
- Oversee IP strategy – patents/trade secrets/licensing.
- Advise on capital structures and partnership frameworks that accelerate complex development projects and scale outcomes.
- Advise on federal contracting rules governing public/private co-investment in dual use/defense tech, construction, real estate and utility transactions.
- Assist with legislative and government affairs initiatives.
- Assist GC with corporate governance, Board of Director matters, and management of outside counsel.
Qualifications
- J.D. with strong academic record; admitted to practice in NJ (or eligible in-house).
- 10+ years across a mix of complex commercial and government contracts, construction and utility contracts, corporate/M&A, and compliance.
- Experience advising growth companies at $0.5B–$3B+ scale. Comfortable with Board-level interaction.
- Experience with administering Public/Private Partnerships, Enhanced Use Leases, Intergovernmental Support Agreements, Exchange Agreements or Federal Government construction or utility contracts would be a definite plus.
